FIRST PARAGRAPH(S)|In connection with acquisitions of corporate businesses, one of the necessary legal procedures is a complete examination of the minute books, stock records and other corporate and important documents of the business to be acquired. This is important both for counsel for the acquiring corporation [buyer] and for counsel for the business which is the subject of the acquisition [seller].
