FIRST PARAGRAPH(S)|The premise of this Article is that there should be coherence between the theoretical structures of corporate finance and corporate fiduciary law. Because corporate finance is grounded in science, and because corporate fiduciary law is grounded in public policy, this Article views corporate fiduciary law as a corrective of corporate-financial anomalies.
