Abstract
INTRODUCTION|The Uniform Partnership Act ("UPA") is a uniform set of rules that governs partnerships in the United States. The general purpose of the UPA "is to make uniform the law of those states which enact it." The National Conference of Commissioners on Uniform State Laws ("Conference") first discussed the idea of a uniform partnership law in 1902. The early drafts of what eventually became the UPA were based on the "entity" theory of partnerships. Under the entity theory, partnerships are treated as a distinct legal entity that consists of the partners and the partnership assets. Later drafts of the UPA applied the "aggregate" theory of partnerships. Under the aggregate theory, partnerships are treated as merely a collection of individuals.
