INTRODUCTION|Limited liability companies ("LLCs") are recent statutorily made business entities that combine the coveted corporation characteristic of limited liability for all investors (called Members) with the income flow-through attributes of partnerships. Before 1990, only Wyoming and Florida had adopted Limited Liability Company Acts. In 1990, Kansas and Colorado also adopted LLCs; since 1990, other states have followed suit.
