Abstract

INTRODUCTION|The revolution that is taking place in the banking world, i.e., interstate banking, will soon reach the Midwest. Within the next year, Nebraska's banks will be susceptible to takeovers from parties outside of the state for the first time since 1956. Prior to January 1, 1991, the acquiring companies will be limited to those financial institutions based in the north central states. After that date, any bank holding company, including money center banks, will be able to invade the once highly protected world of Nebraska banking. It seems appropriate, therefore, that this Article address the issues involved in a bank acquisition, including not only the approval process, but also the securities, antitrust, tax and accounting implications. At the same time, this Article will review the relevant economic policies and economic impact of bank acquisitions.
