INTRODUCTION|Every sale of a security which takes place in Nebraska must be registered under the Securities Act of Nebraska, unless an exemption from registration is available. There is, for example, a limited exemption from registration where offers to sell are extended to no more than ten persons during any twelve-month period, but this exemption is difficult to use in practice because every time an offer is made and turned down, one of the ten permitted offers is lost. A special exemption for ventures in the organizational stage permits offers to sell to be extended to an unlimited number of persons, provided that there are not more than ten actual investors...
